A vendor-initiated due diligence enables the vendor of the shares to obtain a current and realistic picture of its business. It also assures the vendor of the shares that information may be provided and the sale concluded in good time.

Investor Due Diligence = IDD.
VDD elements
The VDD includes:
- all elements of the “Investor DD”
- documentation for the Investor DD (data room)
- provision to the vendor of information regarding its business.
