Vendor-initiated due diligence

General

A vendor-initiated due diligence enables the vendor of the shares to obtain a current and realistic picture of its business. It also assures the vendor of the shares that information may be provided and the sale concluded in good time.

Terms

Vendor Due Diligence = VDD

Investor Due Diligence = IDD.

VDD elements

The VDD includes:

  • all elements of the “Investor DD”
  • documentation for the Investor DD (data room)
  • provision to the vendor of information regarding its business.
